ANTITRUST EXPERIENCE

  • Government Experience. Two periods of service in the Front Office of DOJ Antitrust Division. As DAAG 2006-2009, David played a hands-on role in managing a significant portion of the agency's civil enforcement program, with extensive experience in merger review (e.g., Monsanto/Delta & Pine Land, XM/Sirius, Arcelor/Mittal, CME/CBOT) and non-merger civil conduct investigations (e.g., Google/Yahoo search venture). Also responsible for Division’s litigation in the areas of his oversight (e.g., Microsemi/Semicoa), as well as DOJ’s participation in antitrust-related Supreme Court advocacy (e.g., Credit Suisse v. Billing).
  • Transactional Antitrust. Extensive experience in all aspects of merger review, from early analysis and strategy to in-court litigation (e.g., as lead counsel for SoftBank successfully defended against lawsuit by multiple state AGs challenging T-Mobile/Sprint merger in New York v. Deutsche Telecom.
  • Civil Conduct Matters. Extensive experience navigating DOJ and FTC conduct investigations addressing alleged monopolization and coordinated effects issues.
  • Litigation. Extensive litigation experience in antitrust and other matters involving economic issues, from first-chair trial victory in PPL EnergyPlus v. Nazarian (affirmed by Supreme Court in Hughes v. Talen Energy) to successful motions to dismiss claims of coordination and unilateral conduct.

RAIL REGULATORY EXPERIENCE

  • Rail mergers. Involved in almost every major rail merger matter since 1990, including Union Pacific/Southern Pacific on behalf of UP, and Canadian Pacific/Norfolk Southern on behalf of Norfolk Southern. Intimate involvement in 2001 Major Merger Rules proceeding. 
  • Other regulatory proceedings. Represented Class 1 railroads and others in wide array of matters, including pooling cases, unreasonable practice cases, rate cases, trackage rights compensation disputes, Amtrak-related matters, and rulemakings concerning such issues as class exemptions, demurrage, and common carrier obligation issues.
  • Complex contract matters. Arbitrated joint facility and commercial Sf long-term supply relationships.
